The Board of Directors is the decision-making body of MMX, responsible for the formulation and implementation of policies and guidelines for the company's business, including its long-term strategies. It is also responsible for appointing and supervising its executive officers. According to Brazilian Corporate Law, the Board of Directors is also responsible for the engagement of the independent auditors.

 

The Board's decisions are taken by the majority vote of the members present. The Chairman of the Board of Directors holds the casting vote, or tiebreaker.


In accordance with the rules of the Novo Mercado and MMX's Bylaws, the Board of Directors must have at least five members and a maximum of eleven members. Each board member must be necessarily a shareholder of the company, although there is no minimum limit for shareholding in this respect. Directors are elected at the Ordinary General Meetingfor a unified mandate of one year and may be reelected or removed at any time by shareholders gathered at an Extraordinary General Meeting. According to the rules of the Novo Mercado, 20% of the members of the Board of Directors shall be independent directors and all directors must submit, prior to taking office, a signed term of agreement to the Rules of the Novo Mercado and of the Bovespa Chamber of Arbitration.

EikeFuhrken Batista, President of the Board of Directors, is also founder and CEO of EBX, having run the EBX Group for more than 20 years. He studied Metallurgical Engineering at the University of Aachen, Germany. In addition, Eike Batista was elected, in 1985, President & CEO of TVX Gold Inc., a gold mining company, with shares traded on stock exchanges in Toronto and New York. Currently, in addition to the position of Controller, he is also Chairman of the Board of Directors of LLX, MMX, OSX and OGX, since 2006, 2007, 2010 and 2008, respectively.  For this latter company he is also CEO.

 

Eliezer Batista da Silva, Honorary Chairman indicated by the Controller, he holds a Bachelor's Degree in Civil Engineering from the Universidade Federal do Paraná (UFPR). He has held the Office of Minister of Mines and Energy for Brazil, Secretary of Strategic Affairs in Brazil and President of Vale and Rio Doce International. He was a member of the Academy of Sciences of Russia and the World Council for Sustainable Development. He is currently a member of the Business Council for Sustainable Development and of the Supervisory Council of the Brazilian Center for International Relations (CEBRI/Rio), and occupies the position of Vice-President, Honorary Chairman and/or member of the Boards of Directors of MPX,LLX, OSX and OGX.


Hans-JuergenMende, Independent Director, he served in the Thyssen Group between 1968-1986, being responsible for International Trade in Raw Materials, holding various executive positions, among the most recent as President of ThyssenCarbometal. He is co-founder, shareholder and President of the AMCI Group, an international group with coal mining operations in the United States, Europe, Australia, China and South Africa, since 1986. He has a MastersinBusiness Administration from the University of Cologne, Germany (1967). He is currently non-Executive Chairman of Alpha Natural Resources, a large coal mining company in the United States. He is also on the Board of Directors of Quintana Maritime, a publicly-traded company listed on NASDAQ. Quintana is a shipping company that operates a large fleet of coal and ironcarriers. Mr. Mende is alsoa member of the Board of Directors of a number of private companies: OKD in the Czech Republic, AMCI in Australia and Whitehaven Pty Ltd in Australia.

 

Hee June Ahn, a Board Member appointed by the minority shareholder SK Networks. He has been President of Global Business for SK Networks Co., Ltd. since July 2010. He graduated in business administration from the University of Korea, in 1984, and has more than 25 years of experience with the SK Group, in energy, petrochemicals and natural resources. Prior to joining SK Networks as Senior Vice President and Senior Director for Resource Development with the BHQ Group in January 2010, Mr. Ahn served as Senior Vice President and Head of the Department of Energy and Petrochemicals at SK Holdings Co. Ltd. in 2008 and 2009. However, most of his career was devoted to SK Energy, the largest oil refinery in Korea, where he was actively involved, and subsequently led the international trade in crude in Korea, the Middle East and in Singapore. Mr. Ahn was also a member of the Board of Directors of several companies of the Group SK, including SK Shipping, SK Lubricants, DOPCO and K-Power and currently is a member of the non-executive Board of SKC Co., Ltd.

 

Liu Xuhui, Board member indicated by minority shareholder WISCO. He graduated in Mineral Processing from the University of Science &Technology in Beijing (USTB) and has an MBA degree from Wright State University – Dayton. He joined the Wuhan Iron and Steel (Group) Co. (Wisco) as a metallurgical engineer (responsible for rolled steel) in 1997. He has 13 years’ experience atWisco, having worked in several areas of the group as technician and also as responsible for the area. He is currently responsible for Managing Wisco Assets.

 

Luiz do Amaral de França Pereira, an independent Board Member, holds a degree in civil engineering from the Universidade Federal do Paraná and took part in the Stanford Executive Program, at Stanford University, in California, U.S., as well as a variety of courses in business administration and business finance. He is currently managing partner at Três Rios Consultoria e Planejamento Ltda., serving as an independent consultant for corporate and financial affairs for a number of different companies and is also a member of the Fiscal Council of the Instituto Desiderata. He was Director of Santana Participações e Empreendimentos Ltda. and IgaporãParticipações (formerly Caemi) and subsidiaries. He worked for the Caemi Group for more than 3 years as Vice President of Finance and Investor Relations, and also as a member of the Board of Directors of Caemi and subsidiary companies. He worked with the MonteiroAranha Group for 7 years as Managing Vice President and a member of the Board of Directors of subsidiary companies. He worked with the Vale do Rio Doce Group for 13 years, performing a variety of functions, and afterwards for 7 years as Managing Vice President and VP of Investor Relations, and as a member of the Board of Directors of subsidiary companies. He was Executive Director of companies in the Bozzano, Simonsen Group. At present he is an independent member of the Board of Directors of LLX, MPX e OSX.


Mei Feng, independent Board member indicated by minority shareholder Wisco. He is a specialist in Mineral Processing, with a graduate degree in Mineral Processing Engineering from the Wuhan Institute of Technology. Has 24 years’ experience in the mining area. He currently holds the position of WiscoGeneral Manager in charge of the Daye Iron Ore Mine (one of the largest iron ore mines in China), with the professional title of Senior Mineral Processing Engineer.

 

Samir Zraick, Independent Board Member, is also an Independent Member of the Boards of MPX, LLX and OSX. He graduated in engineering from the Escola Politécnica da Universidade Católica do Rio de Janeiro, in 1964. He holds a master’s degree in electronic engineering from Delft University in Holland, obtained in 1966. Subsequently he was awarded a doctorate from the Faculty of Sciences at the University of Paris in 1970. From 1971 to 1975 he worked as general systems manager at Companhia Vale do Rio Doce. He was Vice President of Rio DoceAmérica, an American subsidiary of Companhia Vale do Rio Doce from 1975 to 1979. He was a member of the Board of Directors and served as Chairman of the Marketing Committee at Quebec Cartier Mining Co. - QCM, located in Quebec, Canada, from 1990 to 1999. He is also a Member of the Board of Directors of Embraer.
